Terms of Use
A summary to help you find your way. The full text below is what applies.
These terms govern your use of KeepOak. Your account is tied to your verified email address. You can register and sign in without choosing a workspace subscription.
Who we are
KeepOak is operated from the United States. Write to support@keepoak.com for anything about these terms, your account or your data. You must be at least 18 years old to use KeepOak.
Your account
Keep your access code private. You are responsible for activity performed through your account and for using KeepOak in compliance with applicable law.
Your account does not expire because you cancel or do not buy a workspace subscription. Sign-in sessions and single-use access codes still expire for security. An active workspace subscription is required for the included cloud computer, shared Files and hosted agents. Separately paid AI usage does not require a workspace subscription, when AI billing is available.
Service availability
KeepOak works to operate a reliable service, but maintenance, security work, or circumstances outside our control can affect availability.
Payments, refunds and plan changes
Workspace subscriptions renew automatically at the end of each monthly or yearly period, at the price shown in your account, until you cancel. You can cancel at any time from Plan & billing in your account; cancellation takes effect at the end of the period you have paid for. Our server supplier does not refund a computer once it is ordered, so a workspace payment is not refunded for change of mind; your computer stays yours until that period ends. Payments are processed by Stripe, and your receipt comes from Stripe.
Subscription payments are non-refundable for change-of-mind cancellations and partial or unused billing periods, subject to the exceptions below and applicable law. Nothing in these terms limits your mandatory consumer rights.
We will refund any duplicate charge for the same subscription period. If we cannot deliver your purchased workspace, we will refund the subscription payment for that undelivered workspace. Failed delivery means that initial setup has not provided access to a usable workspace and, after you contact support@keepoak.com, we confirm that delivery is not possible or cannot complete delivery within a reasonable time. A brief setup delay alone is not failed delivery. These exceptions do not limit any refund or other remedy required by applicable law.
Downgrades and cancellations take effect only at the end of your current paid subscription period, not immediately. For monthly subscriptions, that means the end of the paid month; for annual subscriptions, the end of the paid year. Your current plan remains available until then. No prorated refund is issued for unused time, except where required by law.
Before any upgrade is confirmed, the billing flow must show its price, effective date and any applicable prorated charge.
AI usage and credits
Workspace subscriptions and AI usage are billed separately. AI usage is not included in your workspace subscription. When enabled, KeepOak AI usage is charged at the per-token model rates and billing units shown in your account before use; the rate shown at the time of use applies. Credit top-ups start at $10.00. Your account shows purchased credits, usage charges and payment history. Canceling a workspace does not close your API wallet or cancel an unrelated ChatGPT or other provider subscription.
A payment that fails or is still processing does not add spendable credits. Unused purchased credit can be refunded within 24 hours of the purchase; payment-processing fees are not refunded, and credit that has been used is not refunded. Purchased credit may expire 365 days after purchase. If you delete your account, unused purchased credit is refunded to your original payment method within 30 days. These terms follow our supplier’s own refund and expiry rules; KeepOak does not promise anything the supplier does not offer. Duplicate payments and refunds are reconciled against the original payment. If a disputed or reversed payment requires review, affected API spending may be restricted; the account will show that status.
Workspace cancellation and exports
Canceling your workspace stops future workspace subscription renewals. Your account shows the paid access end date and the status of the associated cloud service cancellation. KeepOak schedules the supplier change for the specific computer assigned to your account; a requested supplier change is not shown as completed until confirmed.
For workspaces with the cancellation service enabled, a saved export is kept privately outside the retiring computer for 30 days after workspace access ends. Your account shows its exact download deadline. Download and keep your copy before that deadline. The saved export does not extend access to the cloud computer or running agents. Your account and separately paid API wallet remain available afterward.
Agent removal and account deletion
Uninstalling an agent removes its program while retaining the data and connections identified in the confirmation screen for reinstalling. Permanently deleting an agent removes its identified data and connections after an export opportunity and typed confirmation. Neither action deletes your computer, shared Files or another agent.
Account deletion is a separate request requiring fresh identity verification and confirmation of the affected resources. Normal access is revoked when the request is accepted. A restricted status and saved-export recovery page remains available for the displayed 30-day grace period. Afterward, scoped cleanup removes the account data identified in the confirmation. Minimal payment and audit records may be retained as explained in our Privacy Policy.
Your agents act on your instructions
Hermes Agent, OpenClaw and the AI models they use can be wrong, incomplete or out of date. They act on the instructions and boundaries you give them, and you review what they produce before relying on it. You are responsible for what you ask an agent to do, for the accounts and files you connect to it, and for keeping your own copies of anything important.
Third-party software and accounts
Hermes Agent and OpenClaw are independent open-source projects, and AI providers are separate companies, each with its own terms. KeepOak installs, updates and repairs these programs on your computer but is not affiliated with them. What you pay a provider for AI usage is between you and that provider.
Acceptable use
Do not use KeepOak to harm others, break the law, interfere with the service, or attempt to access systems or accounts that are not yours. Do not use it to send unsolicited messages, to gather personal data you have no right to, or to run anything that abuses the network or other people’s systems.
Suspension and ending the service
We may suspend or end access to protect other customers or the service, when a payment fails and is not resolved, or when the law requires it; where we can, we tell you first and give you a way to export your data. You can review account closure in Settings & security. When automatic deletion is unavailable, request closure through support@keepoak.com.
What we do not promise
KeepOak is provided as is, without a warranty of uninterrupted or error-free operation, to the extent the law allows. To the extent the law allows, our total liability for any claim connected with KeepOak is limited to the amount you paid KeepOak in the twelve months before the claim, and we are not liable for indirect losses such as lost profits or data you did not keep a copy of. Nothing in these terms limits liability that cannot be limited by law or your mandatory consumer rights.
Changes to these terms
When we change these terms we post the new version here with its date and, for changes that matter to you, email the address on your account before they take effect. Continuing to use KeepOak after that date means the new terms apply.
Managed operation
KeepOak operates and administers the underlying service. Customer access is limited to the approved workspace and does not include access to KeepOak host administration, private networks, or other customer environments.
